How to fill out a Statement of Work
Free Statement of Work template
A statement of work (SOW) defines a specific project under a services relationship: what will be done, what is excluded, the deliverables and deadlines, how acceptance works and how much is paid at each milestone.
How to fill it out
Enter client and service provider details, project name, SOW number and dates.
Reference the master agreement the SOW falls under, if any.
Describe objectives, scope and what is out of scope.
List deliverables with acceptance criteria and milestones with payment amounts — the total adds up automatically.
Review the terms, edit bracketed values and have both parties sign.
Tips
Be specific about what is out of scope to avoid disputes.
Tie payments to deliverables the client can accept.
Use change orders for any change in scope, schedule or fees.
Have an attorney review high-value or complex projects.

FAQ
What is the difference between an SOW and a contract?
An SOW describes the work for one project; it often sits under a master services agreement that holds the legal terms.
How long is a statement of work?
It depends on the project. This template fits on two pages.
